END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a legal entity) and Datatific, the owner and operator of the software product known as Datatific Review™ ("Software").

BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. Grant of License

Datatific grants you a non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business or personal use, subject to the terms and limitations herein.

The Software is licensed, not sold. All rights, title, and interest in and to the Software, including but not limited to any updates, enhancements, and accompanying materials, remain the exclusive property of Datatific.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.
DATATIFIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Datatific does not warrant that the Software will operate uninterrupted or error-free, or that the results obtained from its use will be accurate or reliable. The user assumes all responsibility and risk for the use of the Software and the results obtained therefrom.

6. Limitation of Liability

IN NO EVENT SHALL DATATIFIC, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF DATATIFIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SOFTWARE IS TO STOP USING IT.

7. Indemnification

You agree to indemnify, defend, and hold harmless Datatific, its officers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of your use of the Software, your violation of this Agreement, or your violation of any rights of a third party.

8. No Affiliation with Microsoft or Oracle

Datatific Review is an independent product and is not affiliated with, endorsed by, authorized by, or sponsored by Microsoft Corporation, Oracle Corporation, or any other third-party vendor. Microsoft, Microsoft Excel, and SQL Server are trademarks of Microsoft Corporation. Oracle and Oracle Database are trademarks of Oracle Corporation. MySQL is a trademark of Oracle Corporation and/or its affiliates.

9. Termination

Datatific may terminate this Agreement at any time if you fail to comply with any term or condition herein. Upon termination, you must cease all use of the Software and delete all copies in your possession or control.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Datatific is registered, without regard to its conflict of law principles.

11. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Datatific concerning the Software and supersedes all prior or contemporaneous understandings.
